Public offer agreement for the provision of tourism services

This document is an official public proposal (public offer) of OKS TOURS LLC (hereinafter the “Provider”), made in accordance with Articles 367 and 369 of the Civil Code of the Republic of Uzbekistan, to conclude a Contract for the provision of tourism services on the terms set out below with any legally capable individual or legal entity (hereinafter the “Customer”). In accordance with Article 370 of the Civil Code of the Republic of Uzbekistan, unconditional acceptance of the terms of this Offer is deemed to be the Customer performing the actions specified in clause 1.3 of this Contract. From the moment of Acceptance, the Contract is deemed concluded in writing.
1. Terms and definitions
1.1. Offer — this document, published on the Internet at okstours.com. 1.2. Customer — an individual or legal entity that has accepted the Offer and is a consumer of tourism services. 1.3. Acceptance of the Offer — the Customer’s full and unreserved agreement to the terms of the Offer, expressed by paying 100% (or a part, where the Personal Account allows) of the cost of the Provider’s Services, or by clicking the “Pay” / “Confirm booking” button in the Personal Account on the Provider’s website. 1.4. Personal Account — the Customer’s personal section on okstours.com. The Parties agree that any actions performed in the Personal Account using the Customer’s credentials (including creating a Booking Request) are deemed to be the Customer’s own actions and have the same legal force as a paper document signed by the Customer in their own hand. 1.5. Booking Request — an electronic document created by the Customer in the Personal Account, containing the exhaustive list, consumer characteristics, timing and cost of the Services.
2. General provisions
2.1. Provider: OKS TOURS Limited Liability Company (TIN 310326925), registered on 17.03.2023, carrying out tour operator activity under perpetual Licence No. 077687 of 28.04.2023. 2.2. Addresses of the Provider: • Registered address: Republic of Karakalpakstan, Nukus, Hawa Joly makhalla, A. Dosnazarov St., 141/2; • Place of business: Republic of Uzbekistan, Khorezm region, Urgench, Navbahor makhalla, Yogdu St., 6/1, apt. 27; • Actual sales address: Republic of Uzbekistan, Khorezm region, Urgench, Temiryolchi makhalla, Khonka St., 36/9. 2.3. This Offer is valid from the moment it is published on the website until it is withdrawn by the Provider. Amendments made by the Provider to the Offer take effect immediately upon publication and apply only to Requests created after such publication. Requests paid for before the Offer was amended are performed on the terms in force at the moment of their Acceptance. 2.4. By accepting the Offer, the Customer gives the Provider their unconditional agreement to the terms of the Privacy Policy and to the processing of personal data in accordance with the Law of the Republic of Uzbekistan “On Personal Data” No. ZRU-547 for the purpose of performing this Contract.
3. Subject of the contract
3.1. The Provider undertakes, at the Customer’s instruction, to provide tourism and/or related services (the “Services”), and the Customer undertakes to pay for these Services on the terms of this Offer. 3.2. The Services may include: sale of an assembled tourism product, booking of accommodation and transport services. The full list and consumer characteristics of the Services are recorded in the Booking Request, which becomes an integral part of the Contract from the moment the Provider confirms it. 3.3. Allocation of liability (agency services): when assisting the Customer with insurance policies and visa documents, and when purchasing air and rail tickets outside a package tourism product, the Provider acts solely as an Agent. Liability for visa refusal, flight delays or refusal of an insurance payout rests directly with the consular institutions, carriers and insurance companies. 3.4. The cost of the Services is set in the national currency of the Republic of Uzbekistan (soum) and is fixed in the Personal Account at the moment the Request is created. The Customer pays for the Services exclusively in the national currency of the Republic of Uzbekistan, using the methods available on the Provider’s website.
4. Placing and confirming an order
4.1. The Customer independently selects a tour or service on okstours.com and creates a Booking Request, providing accurate contact details, the personal data of the trip participants (strictly as shown in their international passports) and the travel dates. 4.2. The submitted Booking Request is reviewed by the Provider. The Provider checks availability and the current price with tour operators and suppliers, and then sends the Customer either confirmation that the services can be provided together with a payment link, or a notice of refusal due to lack of availability. 4.3. The Contract between the Provider and the Customer is deemed concluded from the moment of the Customer’s Acceptance — that is, when 100% of the payment is credited to the Provider’s settlement account. 4.4. After payment is confirmed, the Provider sends the Customer the tourist voucher, tickets and other documents needed for the trip, by e-mail or to the Customer’s Personal Account. 4.5. The Customer bears full responsibility for the accuracy and correctness of the personal data they provide. All costs relating to the cancellation or amendment of issued documents (air tickets, vouchers, etc.) caused by mistakes or typos made by the Customer when completing the Request are borne by the Customer. 4.6. If obvious technical or software errors on the website result in a manifestly incorrect (abnormally low) tour price being displayed, the Provider may cancel such a Request, immediately notifying the Customer and refunding the amounts paid in full.
5. Provision of services and delivery of documents
5.1. Tourism services are provided within the timeframes, along the itinerary and to the extent set out in the tour description and recorded in the confirmed Booking Request. 5.2. After full payment (or a deposit, where the tour terms allow) is received, the Provider sends the Customer electronic documents — the tourist voucher, booking confirmation and tour programme, and where technically possible tickets and insurance policies — to the e-mail address given by the Customer when placing the order, within 1–3 business days of payment. 5.3. Sending documents to the e-mail address given by the Customer is deemed proper and complete performance of the Provider’s obligations to deliver documents. The Customer must check their “Spam” and “Promotions” folders and verify that the e-mail address given is correct. 5.4. Electronic documents have full legal force. Paper copies are provided at the Customer’s prior request at the Provider’s office. 5.5. The Provider’s obligations to provide services begin on the tour start date shown in the voucher. To receive the services, the Customer must arrive at the tour departure point on time and present the voucher together with an identity document (passport). If the Customer fails to arrive at the departure point at the stated time, the services are deemed duly provided and are non-refundable.
6. Payment procedure and processing
6.1. Payment for the tourism services ordered is made by the Customer on a 100% prepayment basis, unless the specific terms of a particular tour expressly provide otherwise. 6.2. Payments are accepted in cashless form using bank cards of the Uzcard and Humo payment systems, and of the international Visa, MasterCard and UnionPay systems. 6.3. The security and processing of online payments is provided by the certified provider Octobank (octo.uz), which holds the relevant authorisations of the Central Bank of the Republic of Uzbekistan and the PCI DSS security standard. 6.4. When choosing to pay, the Customer is automatically redirected to the secure acquiring payment page, where they enter their card details (number, expiry date, CVV/CVC security code and cardholder name). 6.5. All payment information entered is transmitted directly to the bank’s processing system over secure encrypted communication protocols (TLS). OKS TOURS does not collect, process or store confidential bank card data on its own servers. 6.6. To prevent fraud and provide additional transaction protection, the 3-D Secure protocol is used (Verified by Visa, MasterCard SecureCode) — the issuing bank may request a one-time confirmation code. 6.7. Payment is deemed made at the moment OKS TOURS receives a positive response from the processing centre; an electronic receipt is sent to the Customer. If a transaction fails, the Customer may retry the payment or contact a manager. No amounts are debited from the card on a failed payment, or they are automatically returned by the bank.
7. Refunds and termination of the contract
7.1. Refunds to the Customer are made exclusively in cashless form — to the same bank card used to make the original payment. 7.2. To request a refund, the Customer must send a written application in free form to the Company’s official e-mail address (info@okstours.com). The application must state the order number, the payment date, the payer’s details and a detailed reason for the refund. A copy of the cardholder’s identity document must be attached. 7.3. The official review period for a submitted application is up to 10 (ten) business days from the moment the Provider receives the full set of required documents and information. 7.4. The actual crediting of refunded funds to the Customer’s bank account takes from 3 to 30 calendar days, strictly in accordance with the internal rules and procedures of the card issuing bank. 7.5. The final refund amount is calculated on the basis of the cancellation and penalty provisions of this Contract. Documented actual expenses of the Provider and bank commissions withheld by payment providers for processing transactions may also be deducted from the refunded amount. 7.6. Because the subject of the transaction is tourism services rather than physical goods, the standard consumer protection rules on the return and exchange of goods of proper quality do not apply. Refunds are governed exclusively by the rules on unilateral termination of a contract for the provision of services.
8. Booking cancellation and tour changes
8.1. The Customer has the right to withdraw from the booked services or cancel the tour at any time by sending an official notice to the Company’s e-mail address: info@okstours.com. 8.2. The amount refunded to the Customer depends directly on when the cancellation notice is received relative to the tour start date, and on the actual expenses incurred by the Provider in organising the trip (hotel bookings, ticket purchases, partner services): • cancellation more than 30 days before the tour starts — 100% of the amount paid is refunded, less the Provider’s documented actual expenses and bank commissions; • cancellation between 15 and 30 days before — the Provider’s actual expenses are withheld, but no less than 30% of the total tour price; • cancellation between 7 and 14 days before — the Provider’s actual expenses are withheld, but no less than 50% of the total tour price; • cancellation less than 7 days before the trip starts, and failure to appear at the departure point without prior notice (no-show) — the amounts paid are non-refundable, as they cover the Provider’s booking expenses. 8.3. The Provider reserves the right to unilaterally cancel, reschedule or postpone a tour in the event of force majeure, or where the excursion group is critically undersubscribed, giving the Customer advance notice no later than 5 calendar days before the trip start date. 8.4. Where a tour is cancelled at the Provider’s initiative (undersubscribed group or force majeure), the Customer is offered a choice of: rescheduling the trip to alternative dates, selecting another tour with the price recalculated, or a full (100%) refund of all amounts paid for the tour with no deductions.
9. Promotions, discounts and special offers
9.1. The terms for taking part in marketing campaigns, seasonal sales, special offers and advertising campaigns are published on the official pages of okstours.com or in the individual tour cards, and are valid strictly for the period stated. 9.2. Special prices, discount offers and promo codes cannot be combined with one another unless the terms of a specific promotion expressly provide otherwise. 9.3. The number of places available at a promotional price is always limited. Priority for a discount goes to Customers whose requests were not only created but also paid in full earlier than others. 9.4. Discounts and special terms may not apply to certain calendar periods (public holidays, peak high-season dates), to certain accommodation categories, to third-party partner services or to group requests. 9.5. The Provider reserves the right to unilaterally adjust the terms of, or end early, any promotion by posting a corresponding notice on the website. All bookings confirmed and paid for beforehand remain valid on the previous terms. 9.6. Refunds for tours purchased at a promotional price or using promotional terms are made strictly in accordance with the cancellation and refund rules in force on the date of payment.
10. Information security and personal data protection
10.1. All electronic settlements on the website are carried out through the secure infrastructure of the payment provider Octobank, certified to the international PCI DSS security standard. Supporting documentation (including the Attestation of Compliance — AoC) is provided by the acquirer. 10.2. Full bank card details of Customers (PAN number, CVV/CVC security code) never reach the servers of OKS TOURS and are neither processed nor stored by it. The website infrastructure operates exclusively with system transaction identifiers and their current statuses. 10.3. All exchange of information between the user, the website and the payment gateway is performed over secure communication channels using modern encryption algorithms (the TLS protocol). 3-D Secure technology, which confirms the authenticity of the cardholder, acts as an additional security barrier. 10.4. The collection, organisation, storage and any other processing of Customers’ personal data is carried out in strict accordance with the applicable legislation of the Republic of Uzbekistan and the Privacy Policy posted on okstours.com. 10.5. If the Customer suspects unauthorised use of their means of payment or fraudulent operations, they must immediately notify their issuing bank and send an official message to OKS TOURS customer support.
11. Final provisions
11.1. This document has the legal status of a contract of adhesion in accordance with Article 368 of the Civil Code of the Republic of Uzbekistan. By accepting the Offer, the Customer confirms that they have read all of its terms, fully agree with them and accept them in full without any reservations. 11.2. All disagreements and disputes that could not be settled through preliminary negotiations in the claims procedure are subject to resolution strictly in accordance with the applicable legislation of the Republic of Uzbekistan — before the judicial authorities at the Provider’s location. 11.3. The Parties are released from proprietary and other liability for the full or partial failure to perform obligations under this Contract if it resulted from force majeure. This includes: natural disasters, epidemiological emergencies, military conflicts, the adoption of restrictive acts by state authorities, the official closure of borders, and other extraordinary circumstances that could not be prevented in the given conditions and are beyond the reasonable control of the Parties. The occurrence of force majeure must be documented by the competent state authorities or authorised organisations. 11.4. The invalidity or legal nullity of individual provisions (clauses, sub-clauses) of this Offer does not render the remaining provisions invalid; they continue to apply in full. 11.5. The current and effective version of the public offer is permanently published on the Internet at the permanent address: okstours.com.
